Rebirth 1991: Keep the Fame, I'll Take the Royalties

The Geffen Buyout Trap

Mid-June 1993. Inside the acoustic-glass corner office of Sovereign Media, the air vibrated with the invisible, electrifying hum of global cultural saturation.

Elias van Kempen sat behind his mahogany desk, his dark, hypnotic eyes tracking the translucent, glowing green numbers scrolling across his field of vision. The digital loan shark had evolved from a mere ledger into a relentless, real-time stock ticker.

The visual virus had worked flawlessly. By forcing the Madison Avenue advertising agency to fund the music video, and utilizing the staggering, unpaid cameos of Charlize Theron, Cindy Crawford, and Naomi Campbell, Elias had effectively bypassed Jimmy Iovine’s radio embargo. The MTV generation wasn’t waiting for terrestrial radio to tell them what to like; they were watching the most terrifyingly beautiful people on earth staring into a camera lens, and they were sprinting to the record stores to buy the CD.

Sovereign Manufacturing was running its presses twenty-four hours a day, melting the extorted polycarbonate into silver discs.

It was a total, unmitigated triumph. Elias was currently generating millions of dollars in gross retail revenue.

There was only one agonizing, deeply capitalist problem.

[SYSTEM WARNING: UNREALIZED GAINS DO NOT PAY DAILY TAXES. RETAIL REVENUE LOCKED IN NET-90 DAY CLEARING CYCLE. PHYSICAL LIQUIDITY REMAINS STAGNANT.][DAILY MAINTENANCE FEE DEDUCTION INITIATED.][DEDUCTING -$50.00 USD FROM LIQUID CASH RESERVE.]

Elias’s jaw tightened imperceptibly. His liquid cash ticked down to $610,040.00. He was a multi-millionaire on paper, but the massive retail chains like Tower Records legally held onto the cash from CD sales for three entire months before cutting a check to the distributor. Elias had the leverage, but he didn’t have the pipes to force immediate payment.

The door to the office flew open. Paul Rudd stumbled in, looking pale, clutching the corded telephone receiver to his chest as if it were a venomous snake.

”Elias,” Paul wheezed, his eyes wide behind his glasses. ”The phone. It’s him.”

Elias picked up his espresso cup. ”Specify the pronoun, Paul. Half of Hollywood is currently calling this office to demand free merchandise.”

”It’s not a stylist,” Paul choked out, his voice dropping to a terrified whisper. ”It’s David Geffen. The actual David Geffen. He wants you to come to his estate in Beverly Hills for lunch today.”

Elias paused, the espresso cup hovering an inch from his lips.

David Geffen. The billionaire founder of DGC Records. The man who had signed Nirvana, Guns N’ Roses, and essentially owned the entire acoustic landscape of the 1990s. Geffen was an apex predator, a man who didn’t negotiate; he simply swallowed smaller companies whole.

”Tell his assistant I accept,” Elias murmured, a slow, incredibly sharp smile curving his lips. ”And Paul, go warm up the Civic.”

The sprawling, manicured estate in Beverly Hills looked less like a home and more like a minimalist, architectural fortress designed to keep the peasantry out. The driveway was paved with imported European cobblestone, lined with towering, perfectly trimmed privacy hedges.

The rusted, sputtering 1984 Honda Civic rattled up to the massive wrought-iron gates, the muffler violently scraping against the cobblestone. It was a visual insult to the surrounding wealth.

Elias stepped out of the driver’s side. He wore a simple, impeccably tailored black suit with no tie, projecting a cold, European elegance that entirely defied his mode of transportation.

Paul Rudd remained in the passenger seat, having locked his door the moment the engine died.

”I am not going in there, Elias,” Paul stammered, rolling the window down exactly one inch. ”That man eats independent labels for breakfast. He’s going to invite you into his screening room, offer you a glass of vintage wine, and then a trapdoor is going to open, and you will fall into a pit of alligators. I will wait here. If you are not out in exactly one hour, I am driving back to Den Haag.”

”The Pacific Ocean is in the way of that commute, Paul,” Elias noted flawlessly. ”Keep the engine off. We cannot afford to waste the gasoline.”

Elias turned and walked through the heavy wooden front doors, escorted by a silent, broad-shouldered security guard.

The interior of the Geffen estate was breathtakingly quiet. There was no clutter, no ostentatious gold trim. The walls were adorned with original Mark Rothko and Jackson Pollock paintings worth tens of millions of dollars. It was the quiet, absolute confidence of a man who owned the culture.

David Geffen was waiting for him on the rear patio, sitting at a glass table overlooking a massive infinity pool that seemed to spill directly into the Los Angeles basin. Geffen wore a casual cashmere sweater and slacks. He looked entirely relaxed, but his eyes—sharp, calculating, and completely devoid of warmth—tracked Elias’s every step.

”Elias. Have a seat,” Geffen offered, his voice soft, almost paternal. ”Sparkling water?”

”Thank you, David,” Elias murmured, taking the seat opposite the billionaire. He didn’t gawk at the Rothko paintings. He didn’t act like a starstruck teenager. He sat perfectly still, holding the older man’s gaze with the icy, sociopathic calm of a peer.

Geffen observed the lack of intimidation with a faint, amused hum.

”You’ve had an interesting month, kid,” Geffen began, leaning back and resting his hands on his stomach. ”You bypassed Jimmy Iovine’s radio embargo by turning a high-fashion advertising agency into your personal music video production crew. You plastered three of the most famous women on earth across MTV without paying them a dime in union scale. It’s brilliant. Truly.”

”I am a strong advocate for corporate synergy, David,” Elias replied smoothly.

”You’re a hustler,” Geffen corrected, his smile fading slightly into a mask of pure, unadulterated business. ”But here is the reality of your situation, Elias. You have a massive hit on your hands with ’Creep’. Tower Records is selling it by the truckload. But you’re operating out of a dusty warehouse, running your own logistics. Jimmy Iovine isn’t going to stop. He will lean on the retail chains next. He will threaten to pull Dr. Dre and Snoop Dogg from their shelves if they don’t hide your CDs in the back room. You have the leverage of a hit song, but you have absolutely no institutional power.”

Geffen reached into the pocket of his cashmere sweater. He pulled out a crisp, beautifully printed piece of paper and slid it across the glass table.

It was a cashier’s check.

Elias didn’t need to lean forward to read the numbers. The ink was bold and definitive.

$2,000,000.00 USD.

”Two million dollars,” Geffen stated softly, tapping the check with his index finger. ”In cash. Today. I am buying Sovereign Media. I am buying the master recording and the publishing rights to ’Creep’ and your next three albums. I will fold you into DGC Records. Jimmy Iovine won’t dare touch you if you are under my umbrella. You walk out of here a multi-millionaire, and you get to be the biggest rockstar in the world without worrying about the logistics.”

It was the ultimate Hollywood buyout trap. Geffen was offering life-changing money to a nineteen-year-old kid in exchange for surrendering the one thing that actually mattered: Ownership. Geffen knew that ”Creep” alone would generate ten times that amount in global publishing royalties over the next decade. He was trying to buy a money-printing machine for the price of a fancy house.

Elias looked at the check. He didn’t get angry. He didn’t throw it back. He simply let out a low, rich, deeply charismatic laugh.

He mentally engaged the system, sacrificing his points to shatter the billionaire’s illusion of control.

[CHA-CHING!]

The subtle, biological pressure of the aura hit the patio like a sudden shift in barometric pressure. The casual, paternal dynamic Geffen had established instantly evaporated. Elias wasn’t a kid being offered a lifeline anymore; he was a shark evaluating a meal.

”You have exquisite taste in art, David,” Elias smiled, gesturing elegantly to a nearby painting. ”But your valuation metrics are profoundly insulting.”

Geffen’s eyes narrowed, a flash of genuine irritation crossing his face. ”Two million dollars is a fortune for a kid living in a motel, Elias. Don’t let your ego bankrupt you. You can’t beat the institutional blockade alone.”

”I have no intention of beating it alone,” Elias murmured, his baritone voice dropping into a lethal, surgical cadence. ”But I am not going to sell you my empire for pocket change. Because we both know, David, that you don’t actually care about my music. You care about my market share.”

Elias leaned forward, resting his forearms on the glass table, deploying the ultimate Information Arbitrage. He reached into the flawless archive of his past life’s memory, pulling up the exact corporate history of the early 90s music industry.

”You are not trying to build DGC Records anymore, David,” Elias whispered, locking his dark eyes onto the billionaire. ”You are trying to sell it.”

Geffen froze. For the first time in the entire meeting, the legendary executive’s mask slipped. A tiny, almost imperceptible bead of sweat materialized at his temple.

”I don’t know what you’re talking about,” Geffen replied, his voice slightly tighter than before.

”I have friends in offshore banking, David. The whispers are very loud,” Elias lied with flawless, shameless conviction, deploying the Paper Trail Bluff. ”Matsushita Electric—the Japanese conglomerate that just bought Universal and MCA—is hungry for market share. You are secretly negotiating to sell DGC Records to MCA. But to get the billion-dollar valuation you want, you need to show them explosive, undeniable growth in your quarterly earnings right now.”

Geffen stared at Elias, completely paralyzed. The kid had just X-rayed the most guarded, highly classified corporate secret in Hollywood.

”If I sign over ’Creep’, you aren’t going to nurture my career,” Elias smiled, a cold, ruthless expression. ”You are going to bundle my global retail velocity into DGC’s ledger, use my explosive sales to pad your quarterly gross, and then sell me off to a Japanese conglomerate as a line item. I am the final coat of paint on a house you are flipping.”

The silence on the patio was deafening. The gentle lapping of the infinity pool was the only sound left.

”What do you want?” Geffen asked, his voice stripped of all its previous warmth. He was a businessman cornered by a mathematical reality.

”I want to make you richer, David,” Elias purred, sliding the two-million-dollar check back across the table with a dismissive flick of his finger. The Win-Win Parasite was fully primed. ”You need my retail volume to inflate your corporate valuation for the MCA buyout. I need your massive, unassailable distribution pipelines to bypass Jimmy Iovine and get my CDs into every Wal-Mart and Target on the planet. I don’t need your creative input. I need your trucks.”

Elias tapped the glass table.

”Sovereign Media will sign an exclusive, three-year Distribution-Only deal with DGC Records,” Elias dictated, setting the terms with the authority of a tyrant. ”I retain one hundred percent ownership of my master recordings. I retain one hundred percent of my publishing rights. You simply move my physical product from my factory to the retail shelves. And for that privilege, DGC will take a distribution fee of exactly eight percent.”

Geffen nearly choked. ”Eight percent?! The industry standard is twenty-five! I lose money on eight percent overhead!”

”You lose a fraction of a cent on shipping,” Elias countered aggressively, completely dismantling the billionaire’s argument. ”But you get to legally report Sovereign Media’s massive, multi-million-dollar gross revenue on your quarterly balance sheets as ’distributed volume’. When MCA auditors look at your books next month, they won’t see my eight percent fee. They will see that DGC is moving a terrifying volume of product. It will add fifty million dollars to your final buyout price.”

Elias leaned back, crossing his arms, looking at the billionaire with absolute, terrifying calm.

”I am offering to let you use my success to rob a Japanese conglomerate, David,” Elias smiled shamelessly. ”All I ask in return is that you deliver my CDs.”

David Geffen stared at the nineteen-year-old. The kid wasn’t an artist. He was a corporate weapon of mass destruction. He had walked into a buyout trap, completely ignored the bait, and counter-extorted a billionaire by leveraging the billionaire’s own secret greed.

It was brilliant. It was horrifying. It was mathematically undeniable.

A massive, slow sweatdrop rolled down Geffen’s cheek. He looked at the $2 Million check, then up at Elias.

”Eight percent,” Geffen muttered, shaking his head in a mixture of profound respect and utter defeat. ”Jimmy Iovine is going to have a stroke when he sees DGC trucks backing into Tower Records with your product.”

”Jimmy Iovine’s cardiovascular health is not my fiduciary responsibility,” Elias replied, standing up and buttoning his suit jacket. ”Have your lawyers draft the distribution contract. Do not try to slip an exclusivity clause into the fine print. I have a photographic memory, and I am highly litigious.”

Elias turned and walked away from the infinity pool, leaving the legendary Titan of the music industry sitting in stunned silence.

As Elias walked back down the cobblestone driveway toward the rusted Honda Civic, the system erupted in a deafening, golden chorus.

Elias slid into the driver’s seat. His CP balance rocketed to a fortified 315 points.

Paul Rudd was clutching the dashboard, hyperventilating. ”You’re alive! Are you okay?! Did he make you sign away your soul?! Did he threaten to bury us?!”

”He offered me two million dollars, Paul,” Elias said calmly, starting the engine. It squealed in protest before finally turning over.

Paul gasped. ”Two million?! We’re rich! We can fix the muffler!”

”I rejected it,” Elias stated, throwing the car into gear. ”He is giving us a national distribution network instead.”

Paul stared at Elias, his brain completely short-circuiting. ”You... you turned down two million dollars in cash... for delivery trucks?”

”We are building an empire, Paul. Empires are not bought with cash,” Elias murmured, steering the Civic out of the Beverly Hills estate. ”They are built on supply chains. Now, check the itinerary. I believe we have a pressing issue in the fashion sector.”
