King of the Wilderness

Chapter 517: Chapter 280: Scores That Shocked the Examiners!

Lin Yu’an fundamentally does not trust human nature; he believes in precise system designs and absolute interest binding.

Lin Yu’an’s tone returned to calmness, ”So, do you understand now? He cannot sue me. Because once it goes to court, he will lose more than he could ever gain.”

”As for that money, I’ve already used it to purchase the Giant Stone River Heritage Ranch, and it has turned into a fixed real estate protected by United States law.”

”The money has been spent, what could he possibly sue for? Maybe revoke the transaction through the title company? That’s impossible.”

Matty heard the silence on the other end of the phone, knowing there was no need to ask further questions; Lin Yu’an’s words, without explaining any details, already answered all the questions.

”I understand.” Matty let out a long sigh, completely releasing the last shred of doubt in his heart.

His voice regained that absolute professionalism and efficiency, ”Then, Lin, in that case, my final suggestion is that we can completely abandon the ’environmental easement’ plan.”

”Because the legal ownership of all profits is under Mr. Sheng’s name, and it has nothing to do with you as a US tax resident (green card holder).”

”Hence, the plan I initially designed to help you deduct personal income tax is no longer necessary.”

”We don’t need to sacrifice any future possibilities of that land for a nonexistent tax issue.”

”What’s the new plan?” Lin Yu’an inquired.

”The new plan is simpler and more straightforward, and aligns with your future interests better.” Matty’s voice was full of confidence.

”We will revert to the initial offshore loan model, but this time, we can make it more perfect.”

”Step one, bring in the funds. Mr. Sheng’s Cayman Company injects the 230 million dollars into the LLC you registered in Wyoming specifically for this acquisition as a shareholder loan.”

”Legally, this is a clear and unassailable foreign-to-US investment.”

”Step two, purchase and hold. Your LLC buys the Giant Stone River Heritage Ranch outright in the company’s name. Because we haven’t donated any rights.”

This means all the potential of this land is perfectly preserved in your hands!”

”Whether it’s to maintain it as a private kingdom for generations, or to carve out a portion in the future for building a top-tier resort, or even legal commercial mining, legally it’s unimpeded.

”What about the tax issues? On the corporate level,” Lin Yu’an asked, always able to grasp the core key points.

”That’s precisely another advantage of the new plan,” Matty’s tone became even more excited, ”Wyoming LLC, because it carries 230 million dollars in debt, is the best firewall!”

”The interest your US company needs to pay to Cayman annually will serve as legitimate business expenses, perfectly offsetting any potential operating profits from the ranch in the future.”

This ensures that your US company will hardly have to pay any taxes for a long time to come.”

At this point, Matty paused slightly, seemingly engaging in final thoughts and deductions. Then, he supplemented with an awe-struck and extremely admiring tone.

”Lin... I suddenly realized that your previous layout of authorization plus debt trap, combined with the current offshore loan plan, is simply a masterpiece!”

Lin Yu’an didn’t speak, quietly listening.

Matty’s voice trembled slightly with excitement, ”Listen to me, Lin. Once this plan is implemented, what will happen?”

”It will create a perfect legal loop, completely locking out any potential backlash from Sheng Risheng!”

”Let’s run a simulation; suppose one day Mr. Sheng discovers this secret, gets greedy, and wants to reclaim control of the Cayman Company. What can he do?”

”He can hire lawyers and try to revoke the authorization given to you. But even if he succeeds, what will he gain?”

”He will get a company that nominally belongs to him but whose core asset is an accounts receivable of 230 million dollars from your US company!”

”That money has been legally invested by you into the land in the US, turning it into a ranch!”

”Does he want your US company to repay the money? He can! But first, he has to face your previous ’unlimited joint and several liability guarantee’ debt trap! That’s enough to bankrupt him; he wouldn’t dare act!”

”Taking it a step further, even if he throws caution to the wind, risking personal bankruptcy to pursue the loan, then he must sue your Wyoming-based LLC in the United States court in the name of the Cayman Company!”

Matty couldn’t help laughing here.

”Lin, do you realize how ironic this is? He would have to spend a fortune on legal fees to fight a protracted cross-border lawsuit in a judicial environment extremely unfavorable to him.”

”And the defendant is your 100% controlled US company! This means every penny he spends suing you is like using his spear to attack a shield forged from his own money!”

”Throughout the entire lawsuit, his company’s assets (that claim) will be frozen. Meanwhile, you can comfortably enjoy your life on the ranch.”

”The outcome of this lawsuit is destined; he’ll be dragged down while you remain unscathed.”

”Lin, through this operation, you have obtained a 30,000-acre piece of legendary American land with unlimited possibilities at virtually zero tax cost!”

”Moreover, with this land itself, you’ve constructed a financial cage that the nominal ’creditor’ Sheng Risheng can never escape from.”
