Urban God of Rebate: Infinite Returns Of Women And Powers

At the door she stopped and turned.

She looked at him standing in his apartment in the Sunday morning with the whiteboard behind him and the coffee still warm on the counter and all of it, and her expression had the quality that arrived when she’d stopped performing any version of herself.

”Last night,” she said.

”Yes,” he said.

”I’m going to think about it for a long time,” she said. ”In the good way. The specific way where something matters enough to keep returning to.”

He looked at her.

”Me too,” he said.

She crossed back to him and kissed him once, warm and unhurried, the Sunday morning version, and then she stepped back and looked at him one more time.

”Regular evenings,” she said.

”As many as you want,” he said.

She smiled.

”I’ll hold you to that,” she said.

She walked out.

He heard the elevator, then quiet.

He stood in his apartment for a moment looking at the door she’d just gone through.

Then he looked at the whiteboard.

Fourteen names. Numbers. Arrows.

Three weeks to the vote.

He poured the rest of the coffee and sat at his desk and got back to work.

James texted at eleven forty.

Ms. Olivia delivered safely to the agency. She asked me to tell you that Kwon was already outside when she arrived and that his expression confirmed her read about the formation.

Sean smiled at his phone.

Thank you James, he typed.

Of course sir, James replied. Good weekend?

Which was the most personal thing James had ever put in a text message and which Sean understood as its own kind of eloquence.

Very good, he typed back.

He put his phone down and looked at the Sunday city outside his window.

========================

Monday morning came with the particular quality Mondays had when something significant had been moving all week and had arrived somewhere stable.

He was on a call with Thomas and Clara at eight.

Clara had the specific energy of someone who had been awake for a while already, the focused forward-facing quality that was her default mode elevated by several registers.

Thomas was steady. He’d been steady through all of it.

”Meridian’s strategy in previous contested situations,” said Sean, ”has been to make three arguments to wavering shareholders. First, the premium represents certain value versus uncertain future performance. Second, the board vote was narrow and therefore not a clear directive. Third, staying independent creates execution risk around the funding round.”

”All three of which are true in some narrow sense,” said Clara.

”Yes,” said Sean. ”Which makes them more effective than pure fiction. The counter isn’t to say they’re wrong. It’s to provide the context that makes them incomplete.”

”What’s the context,” said Thomas.

”The premium is certain value versus uncertain future but also versus certain negative outcomes at Meridian,” said Sean. ”The board vote was three to two but the shareholder analysis shows seventeen of seventeen independent shareholders holding no. Those aren’t the same kind of narrow. And the funding round execution risk is real but manageable, specifically because of the incoming shareholder support.”

He paused.

”Which brings me to something I want to discuss,” he said.

”Your position,” said Clara.

”Yes,” said Sean.

He told them. Not the exact number yet but the direction. That he intended to increase his Vertex position significantly over the three week period. That the size would be material, not a minor shareholder position but one that would be disclosed publicly and would change the shareholder communication landscape because it would demonstrate that a significant new investor believed in the company’s independent future.

Silence on the line.

Thomas spoke first. ”How significant.”

”Significant enough to matter in the public narrative,” said Sean. ”Meaningful enough that the funding round conversation becomes credible to investors who are watching how this situation resolves.”

”You’re using your own position as a signal,” said Clara.

”Yes,” said Sean.

”That requires you to actually hold it,” she said. ”This isn’t theoretical. You’d be acquiring a position that has real downside if the vote goes the wrong way.”

”I know,” said Sean.

”The vote could go wrong,” she said. ”Meridian has resources and three weeks and they’re going to use both.”

”I know that too,” said Sean.

She was quiet for a moment. ”You’re eighteen years old and you’re talking about acquiring a significant stake in a company in the middle of a contested acquisition.”

”Clara,” said Thomas, gently.

”I’m not trying to talk him out of it,” she said. ”I’m making sure he’s actually thought about it.”

”I’ve thought about it,” said Sean.

”Tell me what you’ve thought,” she said.

Sean looked out the window.

”I’ve thought that Vertex built something with a real eighty-seven percent renewal rate and three hundred and forty businesses that depend on it,” he said. ”I’ve thought that Meridian’s pattern across twelve acquisitions is consistent and the consistency is not favorable. I’ve thought that the shareholder count is there if it holds and that my position makes it more likely to hold because it signals something the wavering shareholders will be looking for.” He paused. ”And I’ve thought that the downside of being wrong about this is losing money, which is recoverable. The downside of not doing it is watching something that works get hollowed out, which isn’t.”

The line was quiet.

”Okay,” said Clara. The filing version. ”What do you need from us.”

”I need to know the funding round parameters,” said Sean. ”The size, the terms you’d find acceptable, the timeline. Because when my position becomes public the next question every observer is going to ask is what comes after and I want to have thought about that alongside you rather than separately.”

Another silence.

”That’s a board conversation,” said Thomas. ”We’d need to bring it to the full board.”

”I know,” said Sean. ”I’m not asking for commitments today. I’m asking whether having the conversation is something you’re open to.”

Thomas and Clara both said yes at almost the same moment.

Which was its own kind of answer.
